By accessing, browsing, or using the website at firmbridgeengineeringenterprises.com ("Website") and/or engaging Firmbridge Engineering Enterprises Limited ("Firmbridge", "we", "us") for engineering services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions ("Terms").
If you do not agree to these Terms in their entirety, you must not use our Website or services. These Terms constitute a legally binding agreement between you and Firmbridge Engineering Enterprises Limited, a company registered in the Republic of Kenya.
Note: These Terms apply to all visitors, users, clients, and others who access or use our Website and services.
2. Definitions
For the purposes of these Terms:
- "Client" means any individual, company, or organization that engages Firmbridge for engineering services.
- "Services" means all steel engineering, fabrication, construction, installation, and related services provided by Firmbridge.
- "Quote" means a written or verbal estimate of costs for proposed Services.
- "Project" means the specific scope of work agreed upon between Firmbridge and the Client.
- "Materials" means all steel, hardware, coatings, and other supplies used in the execution of Services.
3. Use of Website
You agree to use our Website only for lawful purposes and in a manner that does not infringe the rights of, restrict, or inhibit anyone else's use and enjoyment of the Website. Prohibited behavior includes but is not limited to:

4. Intellectual Property Rights
All content on this Website, including but not limited to text, graphics, logos, images, photographs, videos, technical drawings, designs, software, and source code, is the exclusive property of Firmbridge Engineering Enterprises Limited and is protected by:
- Copyright laws of Kenya and international treaties
- Trademark laws (Firmbridge® and associated marks)
- Industrial design protections where applicable
You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content without our express written permission. Project-specific drawings and designs remain Firmbridge property unless explicitly transferred under a separate agreement.
5. Quotations & Contracts
All quotations provided through our Website, email, WhatsApp, or in person are subject to the following conditions:
Important: A binding contract is formed only upon written acceptance of our quote and payment of the agreed deposit. Verbal agreements alone do not constitute a binding contract.
6. Payments & Pricing
Our standard payment terms for engineering projects are as follows:
- Deposit: 50% of the total project value upon contract signing and before material procurement.
- Progress Payment: 30% upon completion of fabrication/structural work.
- Final Payment: 20% upon project completion, inspection, and handover.
All prices are quoted in Kenyan Shillings (KSh) unless otherwise agreed. Late payments may incur interest at 2% per month on the outstanding balance. We accept bank transfer, M-Pesa, and cheque payments.
7. Project Execution
Firmbridge commits to executing projects with professional skill and care. The Client agrees to:
- Provide safe and reasonable access to the project site.
- Obtain all necessary permits, approvals, and wayleaves from local authorities.
- Make timely payments as per the agreed schedule.
- Notify us promptly of any concerns or defects during the project.
- Not engage other contractors to alter or interfere with our work without written consent.
Project timelines are estimates and may be affected by weather, material delivery delays, site conditions, or Client-caused delays. We will communicate any delays promptly.
8. Warranty & Quality Assurance
Firmbridge stands behind the quality of our work:
- Structural Warranty: 12 months from project completion against defects in workmanship and materials.
- Coating Warranty: 6 months on paint and protective coatings (subject to proper maintenance by Client).
- Exclusions: Warranty does not cover damage from misuse, natural disasters, unauthorized modifications, or failure to follow maintenance guidelines.
All work is executed in accordance with Kenya Bureau of Standards (KEBS) specifications and relevant international engineering standards where applicable.
9. Limitation of Liability
To the maximum extent permitted by law:
- Firmbridge shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
- Our total liability shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
- We are not liable for delays caused by factors beyond our reasonable control (force majeure).
- We do not warrant that the Website will be uninterrupted, timely, secure, or error-free.
Force Majeure: Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, pandemics, government actions, or extreme weather conditions.
10. External Links
Our Website may contain links to third-party websites or services (e.g., social media platforms, industry associations, supplier websites) that are not owned or controlled by Firmbridge.
We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites. You acknowledge and agree that Firmbridge shall not be responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with use of any such content, goods, or services available on or through any such websites.
We strongly advise you to read the terms and conditions and privacy policies of any third-party websites you visit.
11. Termination
We may terminate or suspend your access to our Website immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
For project contracts, either party may terminate with written notice:
- By Client: With 14 days written notice. Client liable for work completed and materials procured to date.
- By Firmbridge: If Client fails to make payment within 30 days of due date, or breaches material terms.
All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
12. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya, without regard to its conflict of law provisions.
Any dispute arising out of or in connection with these Terms or our services shall be resolved as follows:
- 1Negotiation: Parties shall first attempt to resolve the dispute through good-faith negotiation within 30 days.
- 2Mediation: If negotiation fails, parties shall attempt mediation under the Chartered Institute of Arbitrators (Kenya Branch).
- 3Arbitration: If mediation fails, the dispute shall be finally resolved by arbitration in Nairobi under the Arbitration Act, 1995 (Kenya).
The courts of Kenya shall have exclusive jurisdiction over any matters not subject to arbitration.
13. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. Changes will be effective immediately upon posting to this page.
We will notify you of material changes by:
- Posting a prominent notice on our Website homepage.
- Updating the "Last updated" date at the top of this page.
- Notifying active clients via email where practicable.
Your continued use of our Website or services after any changes constitutes acceptance of the revised Terms. If you do not agree to the new Terms, please stop using our Website and services.
Material Changes: Changes affecting pricing, payment terms, liability limitations, or dispute resolution procedures will be highlighted and you will be required to explicitly acknowledge them before continuing to use our services.

15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be severed and the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent as closely as possible.
16. Entire Agreement
These Terms, together with our Privacy Policy and any written contracts signed between you and Firmbridge, constitute the entire agreement between you and Firmbridge regarding the use of our Website and services. They supersede all prior agreements, understandings, and communications, whether written or oral.
No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
